In your opinion what are the issues in the board composition/structure* that can have a major impact on decision making/monitoring and how? Use appropriate corporate governance theory to support your discussion.

Question.Critically discuss the models of corporate governance in Asia, continental Europe, and the UK. Explain why there is a divergence in corporate governance practices in different parts of the world. Your answers should provide 3 key factors of differentiation using examples of companies from these regions.

Question.Why has institutional investors' influence grown so much in recent years? Discuss the role of institutional investors in corporate governance using the example of Legal and General*, one of the largest institutional investors in the UK. Discuss briefly 3 examples of companies they have invested in, where they have actively participated in influencing change.
